These terms are an agreement between you and Bitrism Technologies LLC ("Bitrism", "we", "us"). They cover your use of bitrism.com and our products, CODIQ and the AI Sales Agent (together, the "Services"). If you use the Services on behalf of a business, you accept these terms for that business.
1. The Services
Our Services are software tools for online merchants. They connect to your store on a commerce platform, such as Shopify or WooCommerce, and to messaging channels such as WhatsApp, Instagram and Messenger. Features differ by product and plan, and we may improve or change them over time.
2. Your account
- You must be able to form a binding contract and use the Services for business purposes.
- You are responsible for your store, your connected accounts and the actions taken under your account.
- Keep your credentials secure, and tell us promptly at support@bitrism.com if you suspect unauthorised access.
3. Fees and billing
Paid plans are billed through your commerce platform's billing system, for example Shopify Billing, or as otherwise stated when you subscribe. Fees, usage limits and trial terms are shown in the app before you accept a charge. Unless the law or the platform's billing rules require otherwise, fees are non-refundable. We will give you advance notice of any price change.
4. Your responsibilities
- Your customers: you are responsible for your relationship with your shoppers. That includes your own privacy notice, any consent you need to message them, and the decisions you make about their orders.
- Messaging rules: you must follow the policies of Meta (WhatsApp, Instagram, Messenger) and of any other channel you connect, as well as applicable marketing and anti-spam laws.
- Automation settings: the automations and AI behaviour, such as holds, cancellations, discounts and autonomy level, run according to the settings you choose. Review them carefully.
- Lawful use: do not use the Services to sell prohibited goods, to deceive or harass people, or to break any law or any third party's rights.
5. Risk scores and AI output
Risk bands and risk scores are advisory. They estimate risk from past signals and can be wrong. Our AI Sales Agent works within the catalog data, rules and limits you provide, but AI-generated replies can still contain mistakes. You remain responsible for the decisions you make and the orders you fulfil.
6. Data and privacy
Our Privacy Policy explains how we handle personal information. When we process your shoppers' information, we act on your behalf as your processor, except for the cross-store risk signals described in that policy. Where the law requires one, a data processing agreement forms part of these terms.
7. Your content and our software
You own your store data and content. You give us permission to use it only as needed to provide and improve the Services for you. We own the Services, including the software, models, designs and our brand. These terms do not transfer them to you. If you send us feedback, we may use it without any obligation to you.
8. Third-party services
The Services depend on third-party platforms such as Shopify, WooCommerce, Meta, Google and AWS. Their own terms apply to your use of them. We are not responsible for their availability or for changes they make, and those changes may affect what our features can do.
9. Availability and support
We work to keep the Services available and secure, but we do not promise uninterrupted or error-free operation. You can reach support at support@bitrism.com.
10. Disclaimers
To the extent the law allows, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied. That includes warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any particular reduction in returns, increase in sales or business result.
11. Limitation of liability
To the extent the law allows, Bitrism is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the fees you paid us for the Services in the 12 months before the claim arose.
12. Indemnity
You agree to defend and compensate Bitrism against claims that arise from your products, your store, your messages to shoppers, or your breach of these terms or of the law.
13. Ending the agreement
You can stop using the Services at any time by uninstalling the app or cancelling your subscription. We may suspend or end your access if you break these terms or if the law requires it. When you uninstall, we delete your data as described in our Privacy Policy.
14. Changes to these terms
We may update these terms from time to time. If a change is significant, we will notify you in advance. If you keep using the Services after a change takes effect, you accept the new terms.
15. Governing law
The laws of the State of Delaware, USA, govern these terms, without regard to its conflict-of-laws rules. Any dispute will be resolved in the courts located in Delaware, unless the law of your country gives you a right to bring a claim locally.
